What is a deed of sale for cars ?

NOW THEREFORE, for and in consideration of the sum total of _______________________________PESOS (PHP____________________), Philippine currency, receipt hereof is hereby acknowledged by the said SELLER, the SELLER hereby SELLS, CEDES, TRANSFERS and CONVEYS unto the BUYER, in a manner absolute and irrevocable the Subject Vehicle, free from any and all liens and encumbrances whatsoever and on an “AS IS WHERE IS BASIS”.

The SELLER warrants that the Motor Vehicle is free from any liens and encumbrances and that said SELLER shall defend the title and rights of the BUYER from any claims of whatever kind or nature from third persons.

The BUYER undertakes to cause the transfer of the registration papers of the Subject Vehicle immediately upon receipt of possession thereof, and the BUYER shall hold the SELLER free and harmless on a full indemnity basis against and from any charges, claims, damages, costs, judgment, decrees, expenses (including, without limitation, reasonable legal fees), penalties and liabilities of any kind or nature whatsoever which may be sustained or suffered by or secured against the SELLER by reason of, based upon, related to or arising out of the operation of the Subject Vehicle upon the execution of this Deed of Abolute Sale.
