the Seller hereby sells, transfers, and
conveys by way of Sale unto ___________________ (the “Buyer”) a corporation duly existing and organized
under the laws of the Republic of the Philippines with principal office address
at _______________________, the above described motor vehicle, free from
all liens and encumbrances.
That
this sale is made on an “as is where is” basis and the Buyer acknowledges that
it was allowed by the Seller to test drive the vehicle, check the vehicle, and
have a mechanic examine the vehicle. The BUYER further acknowledges that upon
inspection and having test-driven the vehicle, the same was found to be in good
running condition and free of all defects. The Buyer also hereby acknowledges
and agrees to assume the obligations with respect to any fees, duties, taxes,
and other expenses due to the government or any of its agencies, and
instrumentalities including registration fees due after execution of this document.
That
the Buyer shall henceforth after the execution of this Document be responsible
for the operation of the Motor Vehicle, and the Buyer shall likewise undertake
to transfer the Motor Vehicle’s Certificate of Registration from the name of
the Seller to the name of the Buyer. The Buyer shall hold the Seller harmless
from the consequences arising from any future accident or incident involving
the above vehicle after the execution of this contract, and the Buyer shall
fully assume the responsibility for such consequences.
That
the sale is final and non-retractable.
